1. Acceptance of Terms
Welcome to Zorra. By accessing or using our payroll management system ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Zorra ("we," "us," or "our"). Your use of the Service is also governed by our Privacy Policy.
2. Service Description
Zorra provides a cloud-based payroll management system designed for Indian businesses, offering features including:
- Automated salary calculations and payroll processing
- Tax compliance (TDS, PF, ESI, PT) and statutory reporting
- Employee onboarding and management
- Payslip generation and distribution
- Leave and attendance tracking
- Tax declarations and Form 16 generation
- Bank integration for salary disbursement
- Analytics and reporting
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Service. By using Zorra, you represent and warrant that you meet these eligibility requirements.
4. Account Registration and Security
4.1 Account Creation
To use certain features of our Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
4.2 Company Subdomain
Upon registration, you will be assigned a unique subdomain (e.g., yourcompany.heyzora.in). This subdomain is exclusive to your organization and cannot be transferred or shared.
4.3 Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.
5. User Responsibilities
You agree to:
- Use the Service only for lawful purposes and in compliance with applicable laws
- Provide accurate employee and payroll information
- Verify all payroll calculations before processing payments
- Maintain appropriate data backup and security measures
- Not attempt to access unauthorized areas of the Service
- Not use the Service to transmit malware or harmful code
- Not reverse engineer, decompile, or disassemble the Service
- Not resell or redistribute the Service without authorization
- Comply with all Indian labor laws and tax regulations
6. Pricing and Payment
6.1 Subscription Plans
Zorra offers various subscription plans. Current pricing is available on our Pricing page. All prices are in Indian Rupees (₹) and exclude applicable taxes.
6.2 Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- Payments are non-refundable except as required by law
- You authorize us to charge your payment method automatically
- Failure to pay may result in service suspension or termination
- We reserve the right to change pricing with 30 days' notice
6.3 Taxes
You are responsible for all applicable taxes (GST, service tax, etc.) unless we are legally required to collect them.
7. Data and Privacy
Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to such processing.
You retain ownership of all data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service.
We implement appropriate security measures, but you acknowledge that no system is completely secure. You are responsible for backing up your data.
8. Intellectual Property
8.1 Our IP Rights
The Service, including its software, design, graphics, text, and other content, is owned by Zorra and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
8.2 Your IP Rights
You retain all rights to your Customer Data. We do not claim ownership of any content you upload or create using the Service.
9. Service Availability and Support
We strive to provide 99.9% uptime, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice)
- Emergency maintenance or security updates
- Third-party service disruptions
- Force majeure events
Customer support is available via email at contact@heyzora.in during business hours (Monday-Friday, 9 AM - 6 PM IST).
10. Compliance and Statutory Requirements
While Zorra assists with payroll compliance, you are ultimately responsible for:
- Compliance with all applicable labor laws and regulations
- Accuracy of tax calculations and statutory filings
- Timely payment of taxes and statutory contributions
- Maintaining proper employment records
- Obtaining necessary licenses and registrations
We recommend consulting with qualified professionals for legal and tax advice.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
- WE ARE NOT LIABLE FOR ERRORS IN TAX CALCULATIONS, STATUTORY COMPLIANCE, OR REGULATORY PENALTIES
12. Indemnification
You agree to indemnify and hold harmless Zorra, its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Inaccurate or incomplete Customer Data
13. Term and Termination
13.1 Term
These Terms remain in effect while you use the Service.
13.2 Termination by You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
13.3 Termination by Us
We may suspend or terminate your access immediately if you:
- Violate these Terms
- Fail to pay subscription fees
- Engage in fraudulent or illegal activities
- Pose a security risk to the Service
13.4 Effect of Termination
Upon termination, your right to use the Service ceases immediately. You may request a copy of your Customer Data within 30 days of termination. After 30 days, we may delete your data in accordance with our retention policies.
14. Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We will provide reasonable notice of material changes.
We may update these Terms from time to time. We will notify you of significant changes by email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.
15. Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles.
15.2 Jurisdiction
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.
15.3 Arbitration
For disputes not exceeding ₹10,00,000, parties agree to first attempt resolution through good faith negotiation. If unsuccessful, disputes may be resolved through arbitration under the Indian Arbitration and Conciliation Act, 1996.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zorra regarding the Service.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
